Certificate of Status
A New York Certificate of Status (equivalent to a Certificate of Good Standing or Certificate of Existence) is available from the New York State Department of State, Division of Corporations. This certificate shows that the corporation or LLC is in compliance with all state filing requirements. A Certificate of Status will show if a corporation or LLC is past due in the filing of its Biennial Statement.
A Certificate of Status may be obtained by submitting a written request by mail or fax only. Certificates cannot be ordered online or by email.
Certificate of Incorporation
A New York Certificate of Incorporation, filed when the corporation is registered, includes basic information about the corporation, including the Corporation Name, corporate purposes, the county within New York State where the office of the corporation will be located, Stock Structure, Designation for Service of Process.
Certified copies are available online from the Division of Corporations.
Articles of Organization
Articles of Organization are filed by a limited liability company. Certified copies are available online from the Division of Corporations at the NYS Department of State
Countries that have acceded to the Apostille Convention will accept apostille stamps applied by the New York Secretary of State to Certificates of Status and Incorporation directly as confirming authenticity, without requiring additional certification in the United States. New York company certificates needed for use in non-apostille countries require an Authentication Certificate from the New York Secretary of State Secretary of State and must then be attested by the embassy of the recipient country (some embassies also require prior legalization by the U.S. Department of State in Washington DC).

Certified Translations
Where authenticated certificates are required for submission to a country which does have English as an official language, a certified translation may be required. There are generally two options:
- A translation can be arranged in the United States. This can then be certified by a notary and authenticated with an Apostille Stamp from New York or another state, giving it validity in the requesting country.
- A certified translation may be done locally in the recipient country after the original certificate is authenticated in New York.
